  囿于国有独资企业研究是一个极其艰深的课题，所牵涉的法律问题也方方面面，因此，笔者选取了国有独资公司的三个基本法律性质（投资资本国有性、法人治理结构上的特殊性、投资主体的特定性与唯一性）为视角，由此衍生出对与此有关的国有独资公司的密切关联的三大特殊法律问题： （ 1 ）国有独资公司适用范围、 （ 2 ）国有独资公司法人治理结构、 （ 3 ）国有独资公司出资人。
